1. acceptance of terms

By accessing or using the Nodit platform ("Service") operated by Green Daisy Pty Ltd (ABN 33 682 981 433) ("we", "us", "our"), you agree to be bound by these Terms of Service. Nodit is a product of Green Daisy Pty Ltd. If you do not agree, do not use the Service.

2. description of service

Nodit provides a cloud-based platform for creating and managing AI agent teams. The Service includes workspace management, AI agent configuration, task assignment, and output delivery.

3. account registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4. subscription and billing

Paid plans are billed monthly in advance. Prices are listed on our pricing page and may be updated with 30 days' notice. All fees are non-refundable except as described in our Refund Policy. Payments are processed securely via Stripe.

5. acceptable use

You agree not to:

• use the Service for unlawful purposes
• attempt to gain unauthorised access to any part of the Service
• interfere with the proper functioning of the Service
• use the Service to generate harmful, misleading, or illegal content

6. intellectual property

You retain ownership of content you provide to the Service. We retain ownership of the platform, technology, and AI agent configurations. Outputs generated by AI agents are owned by you, subject to any third-party rights.

7. data and privacy

Your use of the Service is also governed by our Privacy Policy. We process data in accordance with applicable Australian privacy laws.

8. service availability

We aim to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance with reasonable notice. We are not liable for downtime beyond our control.

9. limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising from the Service is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

10. termination

You may cancel your subscription at any time. We may suspend or terminate your account for breach of these terms. Upon termination, your right to use the Service ceases and your data may be deleted after a reasonable retention period.

11. changes to terms

We may update these terms from time to time. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance.

12. governing law

These terms are governed by the laws of the State of New South Wales, Australia. Disputes shall be resolved in the courts of New South Wales.
